About the Series

The Weinberg Center Occasional Paper Series publishes concise, authoritative papers on topics central to corporate governance and board leadership. The series offers a platform for timely research, policy analysis, and practical reflection by scholars, practitioners, and policymakers.

Each paper addresses a current or enduring question in corporate governance—ranging from fiduciary duties and board oversight to shareholder engagement and practices. Papers are selected for their originality, rigor, and relevance to the work of public company directors and governance professionals. 

The series extends the Weinberg Center’s mission to foster informed, balanced, and independent discussion of governance issues. It provides a venue for ideas that merit public attention but may not fit the form or timing of a traditional academic journal. By publishing occasional papers, the Center seeks to bridge research and practice—encouraging evidence-based dialogue among directors, investors, regulators, and academics.

Occasional papers are generally between 3,000 and 8,000 words, though shorter essays and longer studies are considered. Submissions receive editorial and peer review for clarity, quality, and contribution to the field. Views expressed are those of the authors and do not necessarily reflect those of the Weinberg Center or the University of Delaware.

Each paper is published online in PDF format and distributed through the Center’s website, mailing list, and affiliated academic repositories. Papers may also be cross-posted on SSRN or similar open-access platforms.

The series is intended for:

  • Corporate directors and senior executives
  • Institutional investors and professional advisors
  • Scholars and students of corporate governance
  • Policymakers and regulators
  • The professionalization of the corporate director
  • Delaware’s approach to shareholder proposals and charter competition
  • Lessons from landmark cases such as Van Gorkom and Caremark
  • The role of quality shareholders in corporate discipline
